About the course

This course is designed to provide students with an understanding of the legal aspects of business organisations. Particular emphasis is given to limited liability companies, and partnerships. Students should also gain an introductory understanding of the law on offering securities to the public, investment advisers, insider trading, market manipulation, and takeovers.

The course requires students to use skills learned in a prerequisite course to:

  • Interpret statutory provisions and apply them to fact situations.
  • Apply rules derived from cases.
  • Write essays.

What students learn

Students will be able to
  • Describe the legal nature of a company and critically evaluate the consequences of incorporation, including directors’ duties, shareholders’ rights, and the relationship with creditors; and apply the provisions of the Companies Act 1993 together with relevant case law to common situations.
  • Apply the provisions of the Partnership Act 1908 and Limited Partnerships Act to common situations, and distinguish a partnership from a joint venture, and from other forms of ownership.
  • Demonstrate an appreciation of securities and takeover law (but excluding the Fair Trading Act 1986 and Commerce Act 1986).
